Are you familiar with using MSCONFIG? If so turn off all startup items and non-Microsoft services. After rebooting see if you still get the popups.

It looks as if you have a few nasties.
Download and run mwav.exe from microworld inc it should identify all of your poot and if you then want it to rid them for you - you can pay the $9 and woohoo it does that too!!
I'm using Windows 7 - you got a problem with that?
