Thanks to everyone for such a quick response.

I've been trying to sort out what was installed when, and admittedly I'm not really sure. This is the first machine I've ever built, so I'm still learning.

I now have reason to believe that EZCD may be the culprit. A friend of mine was getting the exact same stop error except for the last parameter. He reformatted the partition and reinstalled XP, unchecking the default option to automatically restart in Startup and Recovery. He then reinstalled all the rest of his software sequentially, rebooting each time. The ONLY thing he hasn't installed was EZCD Creator. He is now able to shut down without a problem. We were using 5.0 with the 5.02 patch. Geez, I thought that was supposed to work.

I don't really have a problem with doing the same thing he did, I'm just wondering if there is another way to remedy this without slipping out the back door.

Even before I installed EZCD, I was not getting a BSOD upon shutdown, just random reboots instead, until I stopped that nonsense in Startup and Recovery. Around that time, a utility I downloaded called Ultimate Zip was locking up alot, so I uninstalled it. I was in the middle of uninstalling Admuncher with another program called Install Rite when my machine rebooted. Needless to say, I'm not using that anymore either.

The only wierd things I'm seeing in the event viewer now are redbook event IDs and Application Popup: Machine Check. Can anyone explain that to me?

Sorry about the long post.
